Terms of Service

1. Who this agreement is between

This agreement is between Context Solutions Inc, an Ontario corporation ("we", "us"), and the business that uses TextAdmin ("you"). It is not an agreement with your customers. Your relationship with the people who text you is yours to define, and section 5 sets out what you must tell them.

Using TextAdmin means accepting these terms. If you are agreeing on behalf of a company, you are confirming you are allowed to bind it.

2. What the service is

TextAdmin is an iPhone app and a supporting message relay. When someone texts a phone number provisioned for your business, the relay passes the message to your phone, an automated assistant composes a reply grounded in the business profile you supplied, and the reply is sent back by SMS. The app records the conversation, captures and confirms a service address, scores the enquiry, and shows you your leads on a map and in a report.

The service does not book appointments, take payments, produce quotes, place voice calls, handle picture messages, or connect to other software you use. It supports one business per deployment and one business phone number.

3. This is a beta

TextAdmin is in closed beta and distributed through Apple TestFlight. That means:

Do not use TextAdmin as the only way customers can reach you, and do not rely on it as a system of record. Keep whatever you use today working alongside it.

4. Setting you up

We set each business up and you supply a business profile — your services, service area, pricing notes, frequently asked questions, tone, closing commitments and your website address — and we arrange a phone number and build the assistant's knowledge from what you gave us, including the content of your website.

Two things follow from that, and they matter more than they look:

5. You are the sender of record

Messages sent through TextAdmin go out from a number registered to your business, and in the eyes of mobile carriers and the law your business is the sender. We provide the tool; we are not the messaging party. We will assist with:

The provisioned number is for replying to inbound enquiries. Do not use it to send marketing, to message a purchased or imported list, or to contact anyone who has not texted you first. Doing so is a breach of these terms and grounds for immediate suspension.

6. Acceptable use

You will not use TextAdmin to send unlawful, deceptive, harassing or fraudulent messages; to impersonate another business; to send content regulated as high-risk by carriers; to attempt to access another business's data; to reverse-engineer, resell or sublicense the service; or to probe, overload or interfere with the relay other than as permitted by our security policy.

7. Data protection roles

For the enquiries your customers send you, you are the controller and we are the processor. We handle that information only to provide the service to you and on your instructions. Specifically:

Responding to a request from one of your customers to see or delete their information is your responsibility as controller. We will help where the request reaches us instead.

8. Who owns what

We own the app, the relay, the assistant's prompts and logic, and everything we build to run the service. You get a non-exclusive, non-transferable right to use it during the beta, and nothing more.

You own your business profile, your website content, your conversations and your customer data. You grant us only the permission needed to run the service for you: to process enquiries, to build and host your assistant's knowledge base, and to operate the number.

If you send us feedback, we may use it to improve the product without owing you anything for it.

9. Third-party services

TextAdmin depends on services we do not control, currently Twilio for SMS, Apple for the device, iCloud and geocoding, and Amazon Web Services where replies are composed remotely. Their outages, changes and policies affect the service, and message delivery is never guaranteed — a carrier can delay or drop a message for reasons no one here can see. Your use of those services through TextAdmin is also subject to their terms.

10. Availability

There is no service level agreement and no uptime commitment during the beta. We run the service on a best-efforts basis and may take it down for maintenance without notice.

11. Disclaimers

TextAdmin is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Three specific things we do not warrant, because they are the ones that matter in practice:

12. Limitation of liability

To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue, lost business, lost leads or lost data, however caused.

Nothing here excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by negligence. Some jurisdictions do not allow certain exclusions, in which case they apply to you only to the extent permitted.

13. Indemnity

You will defend and indemnify us against claims, losses and reasonable costs arising from the content you supply, the messages sent from your number, your use of the service, or your failure to meet the obligations in sections 5 and 6.

14. Suspension and ending the agreement

You may stop using TextAdmin at any time by deleting the app; tell us so we can release your number. We may suspend or end your access immediately for a breach of section 5 or 6, a legal or carrier requirement, or a risk to the service or to other users, and otherwise on reasonable notice.

When access ends, your conversations remain on your device and in your iCloud until you delete them or your retention period expires. We stop operating your number, and it may be released. Sections 7, 8, 11, 12, 13 and 16 survive.

15. Changes to these terms

We may update these terms. If a change is material we will update the date above and tell the businesses using TextAdmin. Continuing to use the service after a change means the updated terms apply.

16. Governing law

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. The courts of Ontario have exclusive jurisdiction, and both parties submit to them.
